On November 10, 2009, VeriChip Corporation (NASDAQ: CHIP) completed its acquisition of Steel Vault Corporation (OTCBB: SVUL) and changed its name to PositiveID Corporation. In conjunction with the name change, PositiveID began trading under the new ticker symbol "PSID" on the NASDAQ effective November 11, 2009.
Under terms of the agreement, Steel Vault stockholders received 0.5 shares of VeriChip common stock for every share of Steel Vault common stock held. The outstanding stock options and warrants of Steel Vault were also converted at the same ratio. This merger was a stock-for-stock transaction.
The Company typically reports its first quarter (January-March) results in early May, its second quarter (April-June) results in early August, its third quarter (July-September) results in early November, and its fourth quarter (October-December) results in early March.
